Terms of Service for Northwave Podcast Studio

1. Introduction and Acceptance of Terms

These Terms of Service (the “Terms”) govern your access to and use of the services, facilities, website, booking systems, and related offerings provided by Northwave Podcast Studio, located at 214 Queen Street West, Toronto, ON M5V 2A9, Canada (“Northwave Podcast Studio,” “we,” “us,” or “our”).

By booking, accessing, or using any service provided by Northwave Podcast Studio, you agree to be bound by these Terms and all applicable laws in Canada, including applicable federal and Ontario laws. If you do not agree to these Terms, you must not use our services.

If you are using our services on behalf of a business, organization, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms.

2. Scope of Services

Northwave Podcast Studio provides professional podcast and media production services, which may include:

  • Podcast recording sessions
  • Audio editing and mixing
  • Video podcast production
  • Remote guest recording setup
  • Live streaming support
  • Studio booking for interviews and panels
  • Podcast launch consultation

Service availability, pricing, equipment, staffing, and scheduling are subject to change without notice. We may refuse, suspend, or discontinue any service at our discretion where reasonably necessary for safety, legal compliance, operational reasons, or non-payment.

Unless expressly agreed in writing, we do not guarantee any specific audience outcomes, distribution results, technical performance, or commercial success from the use of our services.

3. User Obligations and Responsibilities

By using our services, you agree to:

  • Provide accurate, current, and complete information when booking or communicating with us;
  • Arrive on time and ensure all participants are prepared for the booked session;
  • Comply with all studio rules, safety instructions, and staff directions;
  • Use our facilities and equipment responsibly and only for lawful purposes;
  • Obtain all necessary permissions, releases, licenses, and consents for any content recorded, produced, or distributed using our services;
  • Ensure that any materials, scripts, music, images, trademarks, or third-party content you provide do not infringe the rights of others;
  • Not record, transmit, or distribute any unlawful, defamatory, harassing, obscene, hateful, or otherwise prohibited content;
  • Be responsible for the conduct of your guests, contractors, employees, and representatives;
  • Immediately notify us of any damage, malfunction, or safety concern.

You are solely responsible for the content you create, upload, transmit, publish, or otherwise use in connection with our services. We are not responsible for reviewing or approving your content for legal compliance.

4. Payment Terms and Conditions

Fees for services will be communicated at the time of booking, by quotation, invoice, or published pricing, as applicable. Unless otherwise stated in writing, all fees are payable in Canadian dollars (CAD).

  • A deposit or full prepayment may be required to confirm a booking.
  • All invoices must be paid by the due date stated on the invoice or booking confirmation.
  • Late payments may result in suspension of services, cancellation of bookings, and/or interest charges to the extent permitted by law.
  • You are responsible for any applicable taxes, including HST, unless expressly stated otherwise.
  • Additional charges may apply for overtime, extra editing revisions, special equipment, rush turnaround, extended sessions, damage, cleaning, or other services not included in the original booking.

If a payment is reversed, disputed, or declined, we may suspend delivery of services until the matter is resolved. You agree to reimburse us for any reasonable costs incurred in collecting overdue amounts, to the extent permitted by law.

5. Cancellation and Refund Policy

Cancellations and rescheduling requests must be made in accordance with the booking terms provided at the time of reservation. If no specific booking terms apply, the following default policy applies:

  • Cancellations made more than 72 hours before the scheduled session may be eligible for a partial refund, less any non-refundable deposit, administrative fees, or third-party costs already incurred.
  • Cancellations made within 72 hours of the scheduled session may not be eligible for a refund.
  • No-shows, late arrivals, or cancellations after the session start time are non-refundable.
  • Rescheduling is subject to availability and may incur a fee.
  • Any completed work, including editing, mixing, consultation, or pre-production services, is non-refundable once performed.

If we must cancel or reschedule due to equipment failure, staffing issues, safety concerns, force majeure, or other operational reasons, we will use commercially reasonable efforts to offer a rescheduled session or refund for the affected portion of the service, at our discretion and subject to applicable law.

Refunds, where approved, will be issued to the original payment method within a reasonable time. Processing times may vary depending on the payment provider.

6. Liability Limitations

To the maximum extent permitted by applicable law, Northwave Podcast Studio, including its owners, directors, officers, employees, contractors, and agents, shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of revenue, loss of data, loss of goodwill, or business interruption, arising out of or related to your use of our services.

To the maximum extent permitted by law, our total aggregate liability for any claim arising out of or relating to the services shall not exceed the amount paid by you to Northwave Podcast Studio for the specific service giving rise to the claim during the three (3) months preceding the event giving rise to liability.

We are not responsible for:

  • Technical failures, internet outages, platform errors, or third-party service interruptions;
  • Loss or corruption of recordings, files, or content caused by equipment malfunction, software failure, power outage, or user error, except where required by law;
  • Any claims arising from content supplied by you or your guests;
  • Damage or loss caused by your negligence, misconduct, or failure to follow instructions;
  • Third-party acts or omissions, including payment processors, streaming platforms, or distribution services.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for gross negligence, wilful misconduct, or any other liability that cannot lawfully be excluded in Canada.

7. Intellectual Property Rights

Unless otherwise agreed in writing, all pre-existing intellectual property owned or licensed by Northwave Podcast Studio, including our branding, templates, workflows, software configurations, and proprietary materials, remains our property or the property of our licensors.

Subject to full payment of all applicable fees, you will own the final deliverables expressly identified as deliverables in your agreement or invoice, excluding any third-party materials, pre-existing materials, or tools used by us in the course of providing services.

You grant Northwave Podcast Studio a non-exclusive, worldwide, royalty-free license to use, reproduce, process, and store any materials you provide solely for the purpose of performing the services.

You represent and warrant that you have all necessary rights, licenses, and permissions for any content you provide to us, and that our use of such content in performing the services will not infringe any third-party rights.

Unless you notify us otherwise in writing, you grant us permission to use your name, logo, and publicly released podcast excerpts, clips, or stills for portfolio, promotional, and marketing purposes, subject to applicable law and any separate written agreement.

8. Data Protection and Privacy

We collect, use, disclose, and retain personal information in accordance with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA), and any applicable provincial privacy laws.

We may collect personal information such as:

  • Contact details and booking information;
  • Payment and invoicing information;
  • Session-related communications and preferences;
  • Audio, video, and other content created during the provision of services;
  • Technical data related to remote recording or streaming sessions.

We use personal information to provide, manage, and improve our services; process payments; communicate with you; maintain records; comply with legal obligations; and protect our rights and property.

We may share personal information with trusted service providers, payment processors, cloud storage providers, and technical vendors only as necessary to deliver our services or as required by law.

You are responsible for obtaining any required consents from guests, participants, or other individuals whose personal information, likeness, voice, or image is collected or recorded during a session.

9. Force Majeure

Northwave Podcast Studio shall not be liable for any delay, failure, or interruption in performance caused by events beyond our reasonable control, including but not limited to acts of God, fire, flood, severe weather, power outages, internet failures, labour disputes, governmental actions, public health emergencies, war, terrorism, civil unrest, supply shortages, equipment shortages, or failures of third-party services.

In such circumstances, we may suspend, reschedule, or cancel affected services without liability, subject to any refund or rescheduling rights expressly provided in these Terms or required by law.

10. Changes to Terms

We may update or modify these Terms from time to time to reflect changes in our services, legal requirements, or business practices. The revised Terms will be posted or otherwise made available with an updated effective date.

Your continued use of our services after the effective date of any revised Terms constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using our services.

11. Applicable Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.

You agree that any dispute, claim, or proceeding arising out of or relating to these Terms or the services shall be brought exclusively in the courts located in Toronto, Ontario, Canada, and you irrevocably submit to the personal jurisdiction of those courts, except where applicable law requires otherwise.

13. Severability Clause

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

If any invalid or unenforceable provision can be modified to make it valid and enforceable, it shall be interpreted and enforced to the maximum extent permitted by law in a manner that most closely reflects the original intent of the provision.

By using the services of Northwave Podcast Studio, you acknowledge that you have read, understood, and agreed to these Terms of Service.
